La Société Absorbée et la Société Absorbante étant toutes deux détenues à 100% par la société INFOGENE, société par actions simplifiée au capital de 61 040 euros, dont le siège social est situé 92 avenue Charles de Gaulle, 92200 Neuilly-sur-Seine, immatriculée au Registre du Commerce et des Sociétés de Nanterre sous le numéro 794 618 124, la fusion a été placée sous le régime des fusions simplifiées prévu par les articles L. 236-11 et suivants du Code de commerce, et conformément à l’article L. 236-3, II, 3° du Code de commerce, il ne sera donc procédé à aucune augmentation de capital de la société INFOGENE NORD OUEST et aucun rapport d’échange n’a donc été déterminé. En conséquence, aucune prime ni aucun boni ou mali de fusion n’a été calculé. La fusion prendra juridiquement effet à l’issue de la décision du Président de la société INFOGENE NORD OUEST constatant la réalisation de la fusion et qui devra intervenir le 30 juin 2026 au plus tard.
