La société SIDO ferait apport à la société ARNO de la totalité de son actif, soit 2 525 207 euros, à charge de la totalité de son passif, soit 525 539 euros. L’actif net apporté s'élèverait à 1 999 668 euros. La société SIDO détenant 100% du capital de la société ARNO, les titre auto-détenus par la société ARNO du fait de la fusion seraient immédiatement annulés et il serait procédé à une double opération d’augmentation de capital social d’un montant de 606 240 euros, et une réduction corrélative du capital social de 600 000 euros, de sorte que le capital social de la société ARNO s’élèvera à 606 240 euros après l’opération. La société SIDO sera dissoute de plein droit sans liquidation, à la date de réalisation définitive de la fusion. La fusion sera réalisée le 30 juin 2024 et elle aura, d'un point de vue comptable et fiscal, un effet rétroactif au 1er janvier 2024. Conformément à l'article L. 236-6 du Code de commerce, le projet de fusion a été déposé au greffe du Tribunal de commerce de CLERMONT-FERRAND au nom des deux sociétés le 28 mai 2024. Les créanciers de la société absorbante, ainsi que ceux de la société absorbée dont les créances sont antérieures au présent avis, pourront faire opposition à la présente fusion dans les conditions prévues aux articles L. 236-14 et R. 236-8 du Code de commerce, soit trente jours à compter de la présente publication, devant le Tribunal de commerce compétent.
