ERIC REITHLER CONSEIL CULINAIRE, SARL au capital de 300 000 euros, dont le siège social est 30 Rue de la Loire à LA CHAUSSEE SAINT VICTOR (41260), immatriculée au RCS de BLOIS sous le numéro 428 292 163, et la société L'ÉCOLE BUISSONNIÈRE, société à responsabilité limitée au capital de 10 000 euros, dont le siège social est 30, rue de la Loire à LA CHAUSSEE SAINT VICTOR (41260), immatriculée au RCS de BLOIS sous le numéro 803 206 770, ont établi le projet de leur fusion par voie d'absorption de la société E.R.C.C. ERIC REITHLER CONSEIL CULINAIRE par la société L'ÉCOLE BUISSONNIÈRE. La société E.R.C.C. ERIC REITHLER CONSEIL CULINAIRE ferait apport à la société L'ÉCOLE BUISSONNIÈRE de la totalité de son actif, soit 799 917,14 euros, à charge de la totalité de son passif, soit 114 661,39 euros. La valeur nette des apports s'élèverait à 685 255,75 euros. En rémunération de cet apport net, 6852 parts nouvelles de 100 euros de valeur nominale chacune, entièrement libérées, seraient créées par la société L'ÉCOLE BUISSONNIÈRE à titre d'augmentation de son capital social de 685 200,00 euros. La prime de fusion s'élèverait globalement à 55,75 euros. Le rapport d'échange des droits sociaux retenu sera fixé à 4 568 parts de la société L'ÉCOLE BUISSONNIÈRE pour 10 000 parts de la société E.R.C.C. ERIC REITHLER CONSEIL CULINAIRE. Il est précisé que parmi les biens apportés par la société absorbée, figurent 100 parts de la société absorbante, de sorte que du fait de la fusion, cette dernière recevrait ses propres titres. En conséquence, la société L'ÉCOLE BUISSONNIÈRE, société absorbante, procéderait à une réduction de son capital d'un montant de 10 000 euros, par voie d'annulation des 100 parts de 100 euros chacune auto-détenues par suite de l'opération de fusion. La fusion est soumise à la condition suspensive de l'approbation du projet de fusion par les assemblées générales extraordinaires des deux sociétés. La fusion prendrait effet rétroactivement au 1er octobre 2019, d'un point de vue comptable et fiscal. Toutes les opérations actives et passives, effectuées par E.R.C.C. ERIC REITHLER CONSEIL CULINAIRE depuis le 1er octobre 2019 jusqu'au jour de réalisation définitive de la fusion seraient prises en charge par L'ÉCOLE BUISSONNIÈRE. La société E.R.C.C. ERIC REITHLER CONSEIL CULINAIRE sera dissoute de plein droit sans liquidation, à la date de réalisation définitive de la fusion. Les créanciers de la société absorbante, ainsi que ceux de la société absorbée dont les créances sont antérieures au présent avis, pourront faire opposition à la présente fusion dans les conditions prévues aux articles L. 236-14 et R. 236-8 du Code de commerce, soit trente jours à compter de la présente publication, devant le Tribunal de commerce compétent.
