Ces éléments d’actif et de passif de la Branche d’Activité CYP apportée comprennent l’ensemble des moyens humains, matériels et immatériels nécessaires à l’exploitation des activités relatives à la division CYP, ainsi qu’à l’exercice des fonctions transverses afférentes. Les Parties sont convenues de fixer la date de réalisation juridique de l’apport partiel d’actif au 31 décembre 2025 (la « Date de Réalisation »), en application des dispositions de l’article L. 236-4 du Code de Commerce et sous réserve de la réalisation des conditions suspensives mentionnées à l'Article 13.1 du traité. L’évaluation de l’actif et du passif est la suivante : Actif apporté estimé au 31/12/2024 : 3 152 085,06 € Passif transmis estimé au 31/12/2024 : 3 147 300 € Actif net apporté au 31/12/2024 : 4 784,06 € Le rapport d’échange des droits sociaux dans chaque société participante : Une réduction du capital social de la Bénéficiaire non motivée par les pertes sera réalisée avant la Date de Réalisation. Cette réduction de capital non motivée par les pertes, d’un montant de 15 866 358,75 euros, sera réalisée par voie de réduction de la valeur nominale des actions existantes pour la porter de 1 euro par action à 0,01 euro par action. Cette réduction du capital social de la Bénéficiaire est visée à l’Article 13.1 du traité d’apport partiel d’actif au titre des conditions suspensives à la réalisation de l’apport partiel d’actif. Pour rémunérer l’apport partiel d’actif effectué à la Bénéficiaire à la Date de Réalisation la Bénéficiaire procédera à la création de 478 406 actions ordinaires nouvelles d’une valeur nominale de 0,01 euro chacune, toutes entièrement libérées et attribuées à l’Apporteuse. Le capital social de la Bénéficiaire sera donc augmenté de 4 784,06 euros pour s’élever à 165 050,31 euros. Prime d'apport : La valeur nette comptable de la Branche d’Activité CYP, soit 4 784,06 euros étant égale au montant de l’augmentation de capital, soit 4 784,06 euros, aucune « prime d’apport » n’aura à être enregistrée dans les comptes de la Bénéficiaire.
