La Société MLB ferait apport à la SOCIETE VOYAGES LE BRIS de la totalité de son actif, soit 109 843 €, à charge pour cette dernière de supporter la totalité du passif soit 176 025 €. La valeur nette des apports s'élèverait à - 66 182 €. La SOCIETE VOYAGES LE BRIS détenant la totalité des 500 actions composant le capital social de la Société MLB, il ne sera procédé à aucune augmentation de capital et aucun rapport d'échange n'a été déterminé. Il résulterait de l'annulation des actions de la Société MLB détenues par la SOCIETE VOYAGES LE BRIS un mali de fusion de – 91 182 €. La fusion prendrait effet rétroactivement au 31 août 2022 d'un point de vue comptable et fiscal. Toutes les opérations actives et passives, effectuées par la Société MLB depuis le 1er septembre 2022 jusqu'au jour de réalisation définitive de la fusion seraient prises en charge par la SOCIETE VOYAGES LE BRIS. La fusion sera réalisée au jour de son approbation par l’assemblée générale des associés de la SOCIETE VOYAGES LE BRIS. La Société MLB sera dissoute de plein droit sans liquidation, à la date de réalisation définitive de la fusion.
