La société SOFIJEL, société à responsabilité limitée au capital de 1 500 euros, dont le siège social est 13 Boulevard de la Vallée de la Têt, Sainte Eugénie 66270 LE SOLER, immatriculée au Registre du commerce et des sociétés sous le numéro 811 966 837 RCS PERPIGNAN, et la société HOLDEJE, société à responsabilité limitée au capital de 374 000 euros, dont le siège social est 13 boulevard de la Vallée de la Têt, Sainte Eugénie 66270 LE SOLER, immatriculée au Registre du commerce et des sociétés sous le numéro 521 689 828 RCS PERPIGNAN, ont établi le projet de leur fusion par voie d'absorption de la société SOFIJEL par la société HOLDEJE. La société SOFIJEL ferait apport à la société HOLDEJE de la totalité de son actif, soit 6 992 822 euros, à charge de la totalité de son passif, soit 28 272 euros. La valeur nette des apports s'élèverait à 6 964 550 euros. En rémunération de cet apport net, 696 455 parts nouvelles de 10 euros de valeur nominale chacune, entièrement libérées, seraient créées par la société HOLDEJE à titre d'augmentation de son capital social de 6 964 550 euros.
