  AVIS DE PROJET DE FUSION Aux termes d'un acte SSP du 27/07/2020, la société SPRINGEO, SASU au capital de 11 150 €, dont le siège social est 131 chemin du Bac à Traille 69300 Caluire & Cuire - 802 034 207 RCS Lyon, et la société SOGELINK, SASU au capital de 161 370 €, dont le siège social est 131, chemin du Bac à Traille 69300 Caluire & Cuire - 432 993 780 RCS Lyon, ont établi le projet de leur fusion par voie d'absorption de la société SPRINGEO par la société SOGELINK. Les sociétés participant à la fusion étant sous contrôle commun, les apports de la société absorbée sont évalués à leur valeur nette comptable au 30/06/2020 conformément aux prescriptions comptables fixées par les articles 710-1 et suivants du Plan comptable général issus du règlement ANC 2014-03 en cours d'homologation. La société SPRINGEO ferait apport à la société SOGELINK de la totalité de son actif, soit 267 191,68 €, à charge de la totalité de son passif, soit 262 514,48 €. La valeur nette des apports s'élèverait à 4 677,20 €. Les sociétés SPRINGEO et SOGELINK étant sous contrôle commun, il ne sera procédé à aucune augmentation de capital et aucun rapport d'échange n'a été déterminé. La fusion prendrait effet rétroactivement au 01/01/2020 d'un point de vue comptable et fiscal. Toutes les opérations actives et passives, effectuées par la société SPRINGEO depuis le 01/01/2020 jusqu'au jour de réalisation définitive de la fusion seraient prises en charge par SOGELINK. La société SPRINGEO sera dissoute de plein droit sans liquidation, à la date de réalisation définitive de la fusion. La fusion sera réalisée le 30/09/2020. Les créanciers de la société absorbante, ainsi que ceux de la société absorbée dont les créances sont antérieures au présent avis, pourront faire opposition à la présente fusion dans les conditions prévues aux articles L. 236-14 et R. 236-8 du Code de commerce, soit trente jours à compter de la présente publication, devant le Tribunal de commerce compétent. Conformément à l'article L. 236-6 du Code de commerce, le projet de fusion a été déposé au greffe du Tribunal de commerce de LYON au nom des deux sociétés le 28/07/2020.
