La société AURORA ferait apport à la société VIRTUS de la totalité de son actif, soit 621.971 €, à charge de la totalité de son passif, soit 241.067 €. La valeur nette des apports s'élèverait ainsi à 380.904 €. La société VIRTUS, société absorbante détenant la totalité des actions de la société AURORA, société absorbée, il ne sera procédé à aucune augmentation du capital. De même, les apports effectués par la société absorbée n'étant pas rémunérés par l'attribution d'actions émises par la société absorbante, il n'a été établi ni de rapport d'échange, ni de prime de fusion.
